Terms of Service

1. Agreement to these terms

By accessing or using guctech.ca (the "Site") or any app we publish, you agree to these Terms of Service ("Terms"). If you do not agree, please do not use them. In these Terms, "GUC Tech", "we", "us", and "our" mean GUC Tech Inc., a company based in Ontario, Canada.

2. Who we are and what these terms cover

GUC Tech Inc. provides custom software development, app development, and ongoing software support. These Terms govern your use of our Site and the apps we publish. Paid client engagements — custom software and app development work — are governed by separate written agreements between us and the client; where such an agreement conflicts with these Terms, that agreement controls for that engagement.

3. Use of our site

We grant you a limited, personal, non-exclusive, non-transferable, and revocable licence to access and use the Site for your own informational and business purposes. You agree not to:

• use the Site in any unlawful way or in breach of these Terms;
• copy, republish, sell, rent, sublicense, or redistribute Site content except as expressly permitted;
• attempt to gain unauthorized access to, interfere with, or disrupt the Site or its underlying systems;
• frame or mirror the Site, or use automated means to scrape it, without our permission.

4. Intellectual property

The Site and its content — text, design, graphics, logos, and the GUC Tech name and wordmark — are owned by GUC Tech Inc. or its licensors and are protected by applicable intellectual-property laws. Nothing in these Terms transfers any of those rights to you.

5. Apps and purchases

Apps we publish are also subject to the terms of the platform they are distributed on (for example, Apple's App Store terms). Purchases made in our apps are processed by that platform, not by us — we do not collect or store your payment card details. Refunds and billing for those purchases are handled under the platform's policies.

6. Third-party links and services

The Site and our apps may link to or rely on third-party websites and services that we do not control. We are not responsible for their content, policies, or practices, and your use of them is at your own risk and subject to their terms.

7. Disclaimers

The Site and its content are provided "as is" and "as available", without warranties of any kind, express or implied, including accuracy, completeness, or fitness for a particular purpose. We do not warrant that the Site will be uninterrupted or error-free. Nothing in these Terms excludes liability that cannot be excluded under applicable law — such as for fraud, or for death or personal injury caused by negligence.

8. Limitation of liability

To the fullest extent permitted by law, GUC Tech Inc. will not be liable for any indirect, incidental, special, or consequential damages, or for loss of data, profits, or business, arising out of or relating to your use of the Site or our apps. This does not limit any liability that cannot be limited under applicable law.

9. Changes to these terms

We may update these Terms from time to time. Changes take effect when posted on this page, and we will update the "last updated" date above. Your continued use after changes are posted means you accept the updated Terms.

10. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in Ontario, Canada will have jurisdiction over any dispute arising from these Terms, subject to any mandatory consumer-protection laws that apply to you.
